Shareholder agreements
Reserved matters, leaver provisions, deadlock, and drag or tag — written for the cap table you actually have.
We draft and negotiate the papers companies actually sign: shareholder agreements, customer contracts, board resolutions, and letters to ACRA or a licensing body.
A private company limited by shares must keep its constitution, registers, and filings in order. Directors have duties under the Companies Act. We take that as the starting point — not a slide on “governance culture”.
Typical instructions: a founders’ agreement before money comes in, a supply contract the other side sent last week, a director who is leaving, or a letter from a regulator that needs a dated reply. We work from the documents you already have.
We mark up the other side’s draft or write yours. Clauses we spend time on are payment, limitation, IP, termination, and governing law (Singapore). We say which points are worth arguing and which are market.
We prepare resolutions, share transfers, and the wording for filings you or your company secretary will lodge. We do not replace a licensed filing agent where the statute requires one; we prepare the legal documents those filings rest on.

Resolutions, appointment and resignation letters, and minutes that match what the Companies Act expects.
Services, supply, distribution, and NDAs with Singapore governing law and a usable dispute clause.
Dated, factual replies to ACRA or a sector body, with the annexes the letter asked for.
Singapore employment contracts, garden leave, and restrictive covenants that can be defended.
A monthly or quarterly arrangement for companies that need a named adviser without an in-house lawyer.
A funding close, a customer go-live, or a regulator’s reply date is the calendar we work to. Say the date in the first email. We will tell you if the work cannot be done by then, before you instruct.
We speak to your accountant or company secretary when you ask us to, so the resolution and the ACRA form say the same thing.
Attach the contract or the regulator letter and the date for a reply. We will propose a consultation.
